Weekly Deals Roundup: M&A and capital raisings dominate the week

The last full week of November saw M&A deals and capital raisings form the bulk of confirmed deals.

Capital raisings and M&A transactions constituted the most of deals confirmed in the past few days with the exception of a complicated restructuring and a major credit card distribution deal.
 
In our largest deal this week, Herbert Smith Freehills advised the co-ordinating committee of secured lenders on the restructuring of EnQuest PLC, the largest independent UK oil producer in the North Sea. The transaction involves amendments the terms of US$1.2 billion facility agreement, US$650 million New York law high yield bonds and £155 million English law retail notes.
 
HSF along with Clayton Utz also acted Boral Limited’s $1.6 billion entitlement offer and $450 million share placement to fund the acquisition of NYSE-listed firm Headwaters.
 
Meanwhile, King & Wood Mallesons acted for Citi on a 10-year Coles credit card distribution deal which will see the financial institution acquire existing credit card receivables of about $880 million and Coles will receive a share of the risk-adjusted revenues.
 
Clifford Chance continues last week’s trend of acting on major China-linked deals, this time advising the consortium of underwriters of the issue of US$300 million (about $405.87) and €200 million (about $287.51 million) zero coupon notes guaranteed by China Yangtze Power, the largest hydro-power company globally and a subsidiary of China Three Gorges Group.
 
Clayton Utz round up the top five deals this week, advising a subsidiary of China-based Tianqi Lithium Corporation on its $400 million lithium processing plant in Kwinana, Western Australia.
