Through the deal, Consillion can pioneer more tech and services, lead partner says
Addisons has coached cash management solutions company Consillion on its sale to Sesami Cash Management Technologies Corporation.
According to lead partner Geri du Plessis, the deal “will allow Consillion to pioneer more technologies and services to its continually growing customer base, supported by Sesami’s strong presence in the cash management solutions market”. Sesami, a subsidiary of Canada-based GardaWorld, acquires all of Consillion’s shares in the transactions.
The Addisons team collaborated with corporate advisers at InterFinancial. du Plessis was supported by partners Martin O’Connor and Rebecca Dooley; special counsel Cate Sendall; senior associate Brandon Chakty; and solicitor Erin Miranda.
Consillion provides cash management solutions for the banking, retail, and gaming industries. It has subsidiaries in the UK and APAC regions.
Addisons also confirmed its role in the sale of blockchain business Serenade Sound Pty Ltd to ASX-listed Vinyl Group Limited.
The all-scrip deal covers the Serenade business and all of the shares in its UK-based subsidiary. The transaction involves an upfront scrip payment and further scrip earn-out based on performance targets, Addisons said.
“The acquisition gives Vinyl Group entry into UK and European markets through Serenade’s diverse portfolio of partnerships with renowned record labels and artists”, du Plessis explained.

Serenade is a Web3 platform focused on physical and digital collectibles in the music industry.
