The interrelated secondary capital raising made the IPO offer structure complex, the firm says
MinterEllison has successfully helped pull off a complex concurrent IPO and secondary capital raising on the ASX for a wealth manager.
The leading firm advised VGI Partners on its $368.9m IPO and ASX listing and the $300m capital raising for VGI Partners Global Investments. MinterEllison said its role included advising on the IPO, the secondary capital raising, capital raisings, ASX listing, rights issues and entitlement offers, corporate transactions, and funds formation.
Participation in the VGI Partners IPO was contingent on being a part of the capital raising for VGI Partners Global Investments, which made the offer structure of the float complex, the firm said. VGI Partners Global Investments is a listed investment company managed by VGI Partners.
“The interrelated nature of the offerings posed novel legal and practical issues. We thoroughly enjoyed working with VGI Partners, as well as our co-advisers, Moelis, Commonwealth Securities, Crestone, Wilsons, Ord Minnett and Deloitte,” said partner Daniel Scotti.
