Global firms work on pioneer secondary listing under new HK rules

A pair of elite New York firms has worked with Chinese legal giants on a pioneering listing on the Hong Kong Stock Exchange (HKEX).

Skadden, Arps, Slate, Meagher & Flom worked with Shanghai-headquartered Fangda Partners to advice BeiGene on its US$903m secondary listing on the HKEX. BeiGene is also listed on the Nasdaq and its Hong Kong debut is the first secondary listing on the bourse under new rules rolled out in April.

Davis Polk & Wardwell partnered with Beijing-based JunHe to counsel the joint sponsors and underwriters of the listing.

Partners Christopher Betts and Andrea  Nicolas led the Skadden Arps team. Partner Pamela Lawrence Endreny worked on taxation.

In January, Davis Polk also advised the joint bookrunners and underwriters of BeiGene’s depositary-share offer on the Nasdaq. That team included partners Bruce Dallas, Rachel Kleinberg, Pritesh Shah, and Nora Jordan.
